ARTICLES

I. Articles of Academic Consortium 21 (AC21)

1.Objectives

Academic Consortium 21 (hereinafter ‘AC21’) is made up of Universities and Research Institutes (hereinafter ‘Member Institutions’) and Non-academic Organizations (hereinafter ‘Partners’) which seek to establish an international network for the purpose of encouraging the further advancement of global cooperation for the benefit of higher education, contributing to world and regional society and developinga ‘University--Architect of the New Century’ through:

  1. Promoting research through collaboration
  2. Enriching education through cooperation
  3. Contributing to industry and community in world and regional society

The Member Institutions seek to pursue these goals through:

  1. The active exchange of students, faculty members and administrative staff
  2. Shared access to information on research interests and academic activities 
  3. As appropriate, development of cooperative education programs
  4. Support of international exchange of culture between local communities 
  5. Holding regularly AC21 International Forums

More specifically, the Member Institutions contemplate cooperation in the following areas:

  1. Education - Development of multi-cultural recognition and international sense
    • Creation of transdisciplinary/fused human and scientific culture
    • Promotion of lifelong education
    • Provision of world-class knowledge and human resource development
  2. Research
    • Development of high-quality, internationally active researchers
    • Promotion of international collaborative research
    • Creation of international frameworks for technology transfer
    • Assisting the development of international competitive industries
  3. Regional Partnership
    • Development of cultural and technological exchange
    • Understanding corporate cultures through international internship programs
    • Strengthening of R&D through collaboration of AC21 Member Institutions
    • Provision of information on legislations, labor, etc. for Partners
2.Vision

Promoting cooperation in education and research between members, bridging between different societies in the world and delivering the wisdom to all people to mutually understand and share values, knowledge and cultures necessary to improve quality of life and to foster co-existence beyond national and regional boundaries in the 21st century.

3.General Assembly

The General Assembly comprises one representative of each member institution with voting rights. The General Assembly shall meet in a closed session together with such observers as the Steering Committee shall from time to time determine.
A meeting of the General Assembly is held generally every two years for the purpose of discussing and approving programs and fundamental operations of AC21, such as changes in the Communique contents, articles, as well as making changes in Steering Committee membership and to receive and act upon reports and recommendations from the Steering Committee.

4.AC21 International Forum
  1. Every two years an AC21 International Forum will be held at a venue to be approved by the General Assembly. This will incorporate a meeting of the General Assembly, an Open Forum and Satellite Forums together with such other events as are recommended by the Steering Committee.
  2. Open Forum: This is an event held for the purpose of evaluating the results of all AC21 activities, to discuss future planning as well as to reassess the roles of universities in a changing society.
  3. Satellite Forums: The host university may hold symposia on topics of special interest.
5.Steering Committee (STC)
  1. The Steering Committee (hereinafter ‘STC’) members and their terms are determined by the General Assembly, having regard to reasonable size and geographical distribution. It shall act as executive organ of the General Assembly. Its roles shall be the planning and decision-making on organizational operation, AC21 activities and their evaluations. The STC reports to the General Assembly.
  2. STC meetings shall be held generally once a year.
  3. The costs of participation in STC meetings shall be borne by each STC Member Institution.

Note: It is implied that the Vice-President in charge of International Affairs, Nagoya University shall be the Chair of the STC.

6. AC21 Events and Activities
  1. The AC21 name and logo can only be used at the discretion of the STC in connection with events and activities which promote the objectives of AC21 as stated in Article 1. Generally such events and activities must be supported by at least two institutions that are Member Institutions with at least one of the Member Institutions being a host.
  2. AC21 events and activities shall be registered well in advance at the AC21 General Secretariat, Nagoya University and be publicized through the AC21 General Secretariat on the AC21 website.
7.Membership and Partnership
  1. There shall be both members and partners.
  2. Membership Criteria:
    1. Institutional commitment to research and to the principles of AC21
    2. Engagement as demonstrated by exchange agreements with existing member(s)
    3. The willingness substantially to contribute to the forum arrangements as well as AC21 events and activities listed in Article 1
      The STC in accepting the new member shall regard the geographical balance and the total number.
  3. Partnership Criteria:
    Non-academic organizations contributing to the support of the forums and AC21 events and activities
  4. Duration of membership/partnership:
    Membership/Partnership is effective from the day of admission to AC21 till the next General Assembly, to continue thereafter unless the institution gives 6 months’ written notice of termination to the STC through the AC21 General Secretariat. Where possible, any pending activities of an institution that wishes to withdraw from AC21 shall be concluded as originally scheduled. Those members or partners who cease to satisfy the relevant criteria for Membership or Partnership will be asked to withdraw following a vote of the General Assembly.
8. Responsibilities of Members and Partners
  1. Members
    1. Active participation in the events and activities of AC21
    2. Recruitment of supporting Partners from the local region
    3. Regular updating of relevant information about personnel exchanges, research and education as well as inter-regional exchange on the AC21 website and in other publication media
    4. Payment of annual membership contributions
  2. Partners
    1. Assistance to AC21 events and activities
    2. As appropriate, participation in the events and activities of AC21
    3. Regular updating of relevant information about internship offers, personnel exchanges, research & development and management on the AC21 website and in other publication media
    4. Financial donations, donations in name or in kind
9. Membership and Partnership Application
  1. Institutions desiring to become AC21 Members must apply to the AC21 General Secretariat and be approved by the STC
  2. The procedures for joining AC21 are as follows:
    1. All AC21members have the right to recommend prospective members
    2. The recommended institutions must submit a letter of commitment to AC21 General Secretariat before joining AC21
    3. An AC21 member who recommends the prospective institution should provide a written report of that institution
    4. The inclusion of recommended institutions will be reviewed by the STC and must be accepted by unanimous decision.
    5. Recommendations for new members can be made from the end of STC until 2 months prior to the next STC
  3. Institutions desiring to become AC21 Partners must apply to the AC21 General Secretariat upon recommendation of a Member Institution and be approved by the STC

Note: AC21 Members might also seek sponsors and donors for particular events and activities of AC21

10. Membership Termination
  1. AC21 members who are delinquent in their payment of the contribution fee will have their membership terminated through the following the procedures as outlined below
    1. First year of delinquent payment
      1. A letter of notice will be sent to the institution from AC21 General Secretariat
    2. Second year of delinquent payment
      1. AC21 General Secretariat will send a final notice stating their membership status will be terminated
      2. If the member does not respond to the letter, AC21 will consider this as an agreement to have their AC21 membership terminated
  2. All the above will be decided and finalized at STC
  3. If an institution requests to be reinstated as a member, a letter of commitment to AC21 General Secretariat must be submitted
11. AC21 Presidency
  1. Rotating presidency among the AC21 members: The Chair of the AC21 International Forum, President/Chancellor/Vice-Chancellor/Rector of the host institution, becomes the President of AC21. The term of the Presidency shall be for two years beginning from a year before the Forum and one year after it.
  2. The title of Founding President shall be given to Professor Minoru Matsuo, former President, Nagoya University.

    Note: Costs for the establishment and operation of the AC21 General Secretariat to be borne by Nagoya University
  2. Expenditure
    1. Operation costs of AC21
    2. Support for AC21 events and activities in which all members can participate
13. Change to Articles
  1. Any change to the articles must be ratified by a majority vote of those present at the General Assembly or by a two-thirds majority of those members responding in a postal vote arranged by the STC
  2. The postal vote may also be used to seek the approval of the General Assembly for any purpose.

  1. At the time of the adoption of these Articles, the following were the 7 Member Institutions represented on the STC:
    Chulalongkorn University, Ecole Nationale des Ponts et Chaussees, Nagoya University, North Carolina State University, Shanghai Jiao Tong University, The University of Sydney, The University of Warwick*
    * As of 1 April 2003 until 23 July 2004; universities in alphabetical order
  2. As of 24 July 2004, the following are the 8 Member Institutions represented on the STC:
    Chemnitz University of Technology, Chulalongkorn University, Ecole Nationale des Ponts et Chaussees, Nagoya University, North Carolina State University, Shanghai Jiao Tong University, The University of Sydney, The University of Warwick*

ATTACHMENT B)

MEMBERSHIP/PARTNERSHIP CONTRIBUTIONS

I. Members

Contributions are categorized as follows:

  1. annual contribution
  2. project-based contribution
  3. entrance contribution
  1. Annual contributions shall be divided into 3 categories based on GDP/per capita. One lot is set to be US $250. In this way, a total amount of US $32,500 can be collected annually to be used for AC21 activities and events in which all members can participate and which are endorsed by the General Assembly.

    US$1,000-US$7,000 3 lots
    > US$7,000 10 lots
  2. Countries with annual GDP per capita below $500 are exempt from paying an annual contribution
II. Partners

Partners shall give donations which shall directly support AC21 activities. The amount of donations and its use shall be decided locally by the members and partners. Each member shall make the amount of donations received transparent to AC21 and report its use to the AC21 General Secretariat. Donations shall be used only for AC21 related activities. Applicants shall be committed to AC21’s Vision.
Donations of partners can be of various types, i.e. donations in name, in kind or financial donations.
Partners can be categorized into:

  1. Corporations ⇒ high level of contribution
  2. Government and municipal agencies ⇒ moderate level or none
  3. Community and NGO groups ⇒ moderate level or none
  4. Research institutes ⇒ minimum or none

For transparency reason contributions need to be reported to the General Secretariat, reported to the STC and then endorsed by the General Assembly.
